The Jefferies Energy Investment Banking team is one of the largest and most experienced in the industry, offering full-service advisory and capital markets capabilities across the energy value chain. Within this platform, the Midstream vertical focuses exclusively on companies involved in the transportation, storage, and processing of oil, natural gas, and natural gas liquids. Our team combines deep sector knowledge with technical and financial expertise to deliver differentiated solutions to clients across the midstream landscape, including MLPs, C-Corps, and private infrastructure sponsors.
Position:
We are actively seeking Associates and Vice Presidents to join our Midstream Energy Investment Banking team in Houston as the team continues its expansion. This is a unique opportunity to work on high-profile transactions in a dynamic and evolving sector that sits at the intersection of traditional energy and the energy transition.
Primary Responsibilities:
- Lead the execution of M&A, capital markets, and strategic advisory transactions for midstream clients.
- Develop and present client materials including pitch books, management presentations, and board materials tailored to the midstream sector.
- Build and maintain complex financial models including DCF, precedent transactions, trading comps, and accretion/dilution analyses specific to midstream assets and structures (e.g., MLPs, dropdowns, IDRs).
- Conduct in-depth valuation and strategic analysis of midstream infrastructure assets and companies.
- Participate in due diligence processes, including reviewing commercial contracts (e.g., FERC-regulated tariffs, gathering & processing agreements, take-or-pay structures).
- Draft offering memoranda, investor presentations, and regulatory filings (e.g., S-1s, 10-Ks) for public and private capital raises.
- Engage directly with senior client executives and internal senior bankers to drive transaction execution and client relationship development.
Requirements:
- Bachelor’s degree from an accredited institution; MBA or other advanced degree is a plus.
- Minimum 3+ years of investment banking or relevant advisory experience, with a strong preference for candidates with direct exposure to the midstream energy sector.
- Advanced financial modeling and valuation skills, with a deep understanding of midstream-specific metrics (e.g., EBITDA, DCF, distributable cash flow, leverage ratios).
- Strong understanding of midstream commercial structures, regulatory environment (e.g., FERC), and industry trends.
- Excellent written and verbal communication skills, with the ability to distill complex information into clear, actionable insights.
- Highly motivated, detail-oriented, and capable of managing multiple workstreams in a fast-paced environment.
- Based in Houston or willing to relocate.
